By accessing or using any product, service, platform, application, or website offered by BŪP Technologies Inc. and its subsidiaries ("BŪP," "we," "us," or "our"), including the BŪP AI executive assistant platform, the BŪP developer API, and any related SMS, messaging, or communication services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service (the "Terms").
If you do not agree to these Terms, you must discontinue use of the Services immediately. We reserve the right to modify these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
BŪP provides an AI-powered executive assistant platform that connects to your business tools — including email, calendar, CRM, task management, and communication platforms — to deliver proactive briefings, actionable insights, and intelligent automation via SMS, Telegram, Slack, and other channels.
The Services include but are not limited to: daily briefings, email triage, calendar management, task tracking, prospect research, and conversational AI commands delivered through supported messaging channels. Features and capabilities may change over time at our sole discretion.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements. The Services are intended for business and professional use. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
To access certain features, you must register for an account at app.bup.ai. You agree to provide accurate, complete, and current information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at legal@bup.ai if you suspect unauthorized access to your account. BŪP is not liable for any loss or damage resulting from unauthorized use of your account credentials.
By linking your phone number to your BŪP account — by texting "link [your email]" to a BŪP-assigned number — you expressly consent to receive SMS messages from BŪP, including daily briefings, task reminders, alerts, and responses to your commands. Message frequency varies based on your usage and configured preferences.
You may opt out of SMS messages at any time by replying STOP to any message. You will receive a confirmation and no further messages will be sent. To re-enable, text START. For help, text HELP or contact hello@bup.ai.
Message and data rates may apply. BŪP is not responsible for any charges from your mobile carrier. Check with your carrier for details on your messaging plan.
SMS services are available on most major US carriers. Carrier support is not guaranteed for all carriers or international numbers.
The Services allow you to connect third-party accounts and services (including Google, Microsoft, Slack, Salesforce, Notion, Dialpad, and others). By authorizing these connections, you grant BŪP permission to access and interact with those services on your behalf, within the scope of permissions you provide.
You are solely responsible for ensuring you have the right to authorize such access, including compliance with any applicable third-party terms of service. BŪP is not responsible for the availability, accuracy, or actions of third-party services.
You may revoke third-party access at any time through your account settings or through the third-party service's own authorization management. Revoking access may limit certain features of the Services.
The Services use artificial intelligence to generate briefings, summaries, drafts, recommendations, and other content. You acknowledge that AI-generated content may contain errors, omissions, or inaccuracies, and that such content is provided for informational and productivity purposes only.
BŪP does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content. You are solely responsible for reviewing any AI-generated communications, calendar entries, tasks, or other outputs before acting on them, sending them, or sharing them with others.
Write operations (such as creating calendar events, sending emails, or updating CRM records) require explicit user confirmation and are subject to your account's write permission settings. BŪP is not liable for any consequences arising from write operations you authorize.
You agree not to use the Services to:
a. Violate any applicable law, regulation, or third-party rights.
b. Send unsolicited commercial messages or spam via any channel.
c. Impersonate any person or entity or misrepresent your affiliation.
d. Attempt to gain unauthorized access to any system, account, or network.
e. Interfere with or disrupt the integrity or performance of the Services.
f. Use the Services to transmit harmful, illegal, offensive, or fraudulent content.
g. Reverse engineer, decompile, or attempt to extract the source code of any part of the Services.
h. Resell, sublicense, or commercialize access to the Services without our prior written consent.
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these Terms.
The Services, including all software, algorithms, models, interfaces, content, trademarks, and trade secrets, are the exclusive property of BŪP Technologies Inc. and its licensors. Nothing in these Terms grants you any ownership interest in the Services or our intellectual property.
You retain ownership of your data and content. By using the Services, you grant BŪP a limited, non-exclusive license to process your data solely as necessary to provide and improve the Services as described in our Privacy Policy.
Access to certain features of the Services may require a paid subscription. Subscription terms, pricing, and billing cycles will be presented at the time of purchase. All fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement.
We reserve the right to change pricing with reasonable notice. Continued use of the Services after a price change constitutes your acceptance of the new pricing. We may suspend access for non-payment.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, BŪP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
BŪP does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Services at your own risk.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BŪP TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
In no event shall BŪP's total aggregate liability to you exceed the greater of (a) the amounts you paid to BŪP in the twelve months preceding the claim, or (b) one hundred US dollars ($100). Some jurisdictions do not allow certain liability exclusions, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless BŪP Technologies Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any third-party rights, or any content you submit or transmit through the Services.
You may terminate your account at any time by contacting us at hello@bup.ai. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.
Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction in those courts.
Before initiating any legal proceeding, you agree to attempt to resolve disputes informally by contacting us at legal@bup.ai. We will attempt to resolve the dispute within 30 days.
Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and BŪP regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Failure by BŪP to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. BŪP may assign these Terms without restriction.
Force Majeure: BŪP is not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
